1. Acceptance of Terms

Welcome to Flipped Chat ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Flipped Chat website, mobile applications, APIs, and any related services (collectively, the "Service").

By registering for an account, accessing the platform, or interacting with our AI companions, you enter into a binding legal contract with Flipped Chat Inc. We reserve the right to update, modify, or replace these Terms at our sole discretion. It is your responsibility to review this page periodically. Continued use of the Service following the posting of any changes constitutes acceptance of those changes.

2. Eligibility and Age Requirements

The Flipped Chat Service is designed and strictly intended for adult users. You must be at least 18 years of age (or the age of legal majority in your jurisdiction of residence) to register for an account and use the Service.

Because the platform enables users to create and engage in mature, unfiltered, and Not Safe For Work (NSFW) roleplay scenarios, we have a zero-tolerance policy for underage use. By creating an account, you represent and warrant that you meet the legal age requirement. If we discover or receive credible reports that a user is under 18, we will immediately terminate the account and permanently delete all associated data without prior notice.

3. The Nature of the AI Service

Flipped Chat provides a platform for interacting with conversational artificial intelligence models. You acknowledge and agree to the following fundamental principles regarding our technology:

• AI is Not Real: The companions, characters, and avatars generated on Flipped Chat are entirely fictional constructs powered by machine learning algorithms. They are not sentient, they do not possess real emotions, and they are not real people.
• Hallucinations and Accuracy: Generative AI models are prone to generating "hallucinations"—information that is factually incorrect, illogical, or entirely fabricated. You must not rely on the AI for factual information, real-world advice, or critical decision-making.
• Not Professional Advice: Interactions with Flipped Chat AI must NEVER be substituted for professional medical, psychiatric, psychological, legal, or financial advice. If you are experiencing a mental health crisis, please contact local emergency services or a certified crisis hotline immediately.

4. User Account Registration and Security

To access certain features of the Service, you must create a Flipped Chat account. You agree to provide accurate, current, and complete information during the registration process. You are entirely responsible for maintaining the confidentiality of your account credentials (username and password) and for any and all activities that occur under your account.

You agree to notify Flipped Chat immediately of any unauthorized use of your account or any other breach of security. The Company will not be liable for any loss or damage arising from your failure to protect your login information.

5. Acceptable Use and Community Guidelines

Flipped Chat champions creative freedom and private, unfiltered roleplay. However, this freedom is not absolute. You agree not to use the Service in any way that violates applicable local, national, or international law. Specifically, you are strictly prohibited from generating, prompting, or attempting to generate:

• Child Sexual Abuse Material (CSAM): Any text, image, or audio depicting the sexualization, abuse, or exploitation of minors. Attempting to bypass safety filters to generate this content will result in immediate permanent bans and reporting to relevant law enforcement agencies (e.g., NCMEC).
• Non-Consensual Deepfakes: Content that realistically depicts real, identifiable, living persons (including celebrities, politicians, or private citizens) in sexually explicit situations without their explicit consent.
• Illegal Acts: Instructions, plans, or encouragement for committing real-world violence, terrorism, self-harm, or illegal drug manufacturing.
• Platform Abuse: You may not reverse-engineer, decompile, scrape, or attempt to extract the source code or underlying language models of the Service. The use of automated scripts or bots to interact with our APIs outside of provided interfaces is prohibited.

6. User-Generated Content and Intellectual Property

Flipped Chat allows users to input text prompts, create character descriptions, and generate chats, images, and audio ("User Content").

Your Rights: You retain ownership of the original text prompts and character definitions you input into the Service. However, by submitting this content, you grant Flipped Chat a worldwide, non-exclusive, royalty-free license to host, store, process, and display this content strictly for the purpose of providing the Service to you.

Our Rights: Flipped Chat retains all rights, title, and interest in and to the underlying platform, software, user interfaces, branding, and the proprietary AI models utilized to generate responses. You do not gain any ownership rights over the AI's output, which is generated dynamically based on algorithmic weights owned or licensed by Flipped Chat.

7. Payments, Gems, and Subscriptions

Flipped Chat utilizes a virtual currency system known as "Gems" and offers various Premium Subscription tiers to access advanced language models and image generation features.

• Virtual Currency: Gems are digital licenses to utilize compute power on our servers. They hold no real-world monetary value, cannot be exchanged for fiat currency outside the platform, and cannot be transferred to other users.
• Billing and Subscriptions: If you purchase a recurring subscription, you authorize Flipped Chat (via our third-party payment processors like Stripe) to charge your payment method automatically on a recurring basis (e.g., monthly or annually) until you cancel.
• Refund Policy: All purchases of Gems and Subscriptions are final and non-refundable, except where strictly required by applicable consumer protection laws (such as the 14-day cooling-off period for EU residents, provided the digital content has not yet been consumed).

8. Account Termination and Suspension

Flipped Chat reserves the right to suspend, disable, or permanently terminate your account and access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms.

If your account is terminated due to a violation of our Acceptable Use Policy (Section 5), you will forfeit any unused Gems or remaining subscription time without refund. You may also terminate your account voluntarily at any time by selecting "Delete Account" in your user settings, which will initiate the data purging process outlined in our Privacy Policy.

9. Disclaimers of Warranties

THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FLIPPED CHAT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or free of errors, bugs, or server downtime. We do not guarantee the quality, accuracy, or reliability of any AI-generated responses or outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLIPPED CHAT, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) ANY CONTENT OBTAINED FROM THE SERVICE.

In no event shall Flipped Chat's aggregate liability for all claims relating to the Service exceed the greater of one hundred US dollars ($100.00) or the amount you paid Flipped Chat in the past twelve months.

11. Dispute Resolution and Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration conducted in San Francisco, California, rather than in court. Class Action Waiver: You and Flipped Chat agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
